Dabur Secures NCLT Nod to Merge Sesa Care, Adding Ayurvedic Hair‑Care Brand
Dabur India has secured National Company Law Tribunal approval for the merger of Sesa Care into its group, a move that will bring the Ayurvedic hair‑care brand into Dabur’s portfolio. The tribunal, after hearing on 24 September, sanctioned the Scheme of Amalgamation under Sections 230 to 232 of the Companies Act, 2013. The merger will become effective once all statutory filings and formalities are completed, the company said.
Dabur first acquired a 51 per cent stake in Sesa Care from True North in October 2024, and its board approved the full merger scheme in May 2025. The company had earlier obtained approvals from its equity shareholders and unsecured creditors at meetings held on 2 May 2026, followed by regulatory approvals, according to the filing.
Sesa Care operates in the Ayurvedic hair‑care segment and owns the Sesa brand. Dabur said the merger will add a premium Ayurvedic hair‑care brand to its portfolio and strengthen its presence in the category. The company expects to leverage its distribution network, category expertise and international market presence to expand Sesa Care’s reach once the integration is complete in the coming months and sustain growth.
The NCLT approval is described by Dabur India Global CEO Mohit Malhotra as an important milestone in the journey with Sesa Care. He added that Sesa Care is a premium brand with strong Ayurvedic credentials and complements Dabur’s existing hair‑care portfolio well. The company’s Executive Director and Group Head of Corporate Strategy, Abhinav Dhall, said the integration aligns with its strategy of strengthening the portfolio and pursuing new growth opportunities.
The scheme had earlier received approvals from Dabur’s equity shareholders and unsecured creditors at meetings convened pursuant to NCLT directions on 2 May 2026, followed by approvals from relevant regulatory authorities, the company said. The merger will take effect after completion of the required statutory filings and other formalities stipulated under the scheme. Dabur anticipates that the integration will enhance its market reach and reinforce its position in the Ayurvedic hair‑care segment.
