Aegis Logistics Shares Rise 7.7% to ₹1,500 After Agreement to Acquire Majority Stake in Tristar Holdings
Aegis Logistics shares rose 7.7% to an intraday high of ₹1,500 on Wednesday, October 14, after the company, through its step‑down subsidiary Aegis Logistics International, signed a definitive agreement to acquire a majority stake in Tristar Holdings. The announcement positioned the stock at its highest level since the 52‑week peak reached earlier this year, reflecting investor optimism about the company’s expansion into international energy logistics. This move is expected to broaden Aegis’s service portfolio and enhance its global footprint, aligning with the company’s long‑term growth strategy.
In a regulatory filing, Aegis Logistics disclosed that it intends to acquire approximately 89.8% of Tristar Holdings from Agility Tristar Holdings, Gulf Investment Corporation and Diamond Holdings for an equity consideration of $809 million, which includes contingent and interest for deferred consideration. The transaction will give Aegis a controlling stake in a company that operates in more than 30 countries and offers end‑to‑end liquid logistics services such as maritime logistics, road transport, fuel tank storage, fuel distribution and aviation fueling.
Raj Chandaria, Chairman and Managing Director of Aegis Logistics, said the acquisition will kick‑off the company’s transformation into an international energy logistics platform, providing greater scale, business and geographic diversification. He added that the combination of Aegis and Tristar’s complementary capabilities is expected to unlock material synergies, contribute to overall profitability immediately and deliver long‑term strategic benefits. Chandaria also highlighted that the deal will grant Aegis access to an extensive network of blue‑chip customers and premier industry partners within the Tristar ecosystem.
The proposed acquisition is subject to receipt of regulatory approvals under applicable competition and anti‑trust laws and satisfaction of customary closing conditions. It is expected to be completed in Q4 FY27. Tristar, founded in 1998, is an integrated liquid logistics solutions provider with operations in more than 30 countries. For the fiscal year ended December 31, 2025, Tristar generated nearly $1.4 billion of revenue, $257 million of EBITDA and $82 million of net profit on a consolidated basis. Eugene Mayne, Founder and Group CEO of Tristar Group, welcomed the partnership, noting complementary strengths and a shared vision for a more competitive and globally connected business.
At 11:36 AM, Aegis Logistics shares were trading at ₹1,482.4, gaining 6.49% on the National Stock Exchange. From the beginning of the year, the stock has surged over 106%, jumped 11% in a month, and risen 124% in the past six months.
